Terms & Conditions

Last updated: May 20, 2026

1. Who we are

English Mgr is operated by Next Gen AI Mgr LLC ("we", "us", "our"), a limited liability company. These Terms & Conditions ("Terms") govern your access to and use of the English Mgr website, mobile experience, and any related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

2. Eligibility & account

You must be at least 18 years old (or the age of majority where you live) and have authority to enter into these Terms. You agree to provide accurate information when creating your account, keep your login credentials confidential, and notify us promptly of any unauthorized use of your account.

3. What we provide

The Service is a professional English-training platform built for Oil & Gas workers. It includes structured course content, speaking and writing practice, AI-driven coaching and feedback, and progress tracking. Features may evolve, be added, or be retired at our discretion.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Send spam, malware, or attempt to probe, scan, or breach the security of the Service;
  • Scrape, copy, or redistribute course content or AI outputs at scale;
  • Infringe the intellectual property or privacy of others;
  • Reverse engineer, decompile, or attempt to extract source code;
  • Resell, sublicense, or share access to your account.

5. AI features — important notice

The Service uses generative AI to provide feedback, conversation practice, and corrections. You acknowledge that:

  • AI outputs may contain inaccuracies and should not be relied upon as professional, legal, medical, or safety-critical advice;
  • You are responsible for the prompts and content you submit, and for verifying the accuracy of any output before relying on it;
  • You must not use the Service to generate illegal content, harassment, deepfakes, hate speech, malware, or attempts to jailbreak underlying AI models;
  • You must have the rights necessary for any content (audio, text, etc.) you submit to the Service;
  • We may moderate, restrict, or remove content and may suspend accounts that violate this section.

6. Intellectual property

We retain all right, title, and interest in the Service, including all course content, software, branding, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal training purposes. You retain ownership of content you submit; you grant us a limited license to host and process it solely to provide the Service.

7. Payment, billing & tax

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's Checkout Buyer Terms govern payment, billing frequency, taxes, currency conversion, and related mechanics. Subscriptions renew automatically at the interval shown at checkout until canceled.

8. Cancellation & refunds

You may cancel a subscription at any time. When you cancel, your access continues until the end of the cycle you have already paid for; we do not pro-rate or refund partial periods. Eligible refund requests are handled under our Refund Policy.

9. Service availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Suspension & termination

We may suspend or terminate your access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, the rights granted to you end and we may delete your account data after a reasonable retention window.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law (such as for fraud, death, or personal injury caused by negligence).

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your content, your misuse of the Service, or your violation of these Terms or applicable law.

13. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by email or in-app notice) before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the United States and the state in which Next Gen AI Mgr LLC is registered, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of that jurisdiction.
